§ 1776.95.
(A) Prior to the first day of January, 2010, this chapter governs the following partnerships: (1) A partnership formed on or after the first day of January, 2009, except a partnership
that is continuing the business of a dissolved partnership under section 1775.40 of the Revised Code ; (2) A partnership formed before the first day of January, 2009, that elects pursuant
to division (C) of this section, to be governed by this chapter. (B) On and after the first day of January, 2010, this chapter governs all partnerships. (C)(1) On and after the first day of January, 2009, but prior to the first day of January,
2010, a partnership voluntarily may elect, in the manner provided in its partnership
agreement or by law for amending the partnership agreement, to be governed by this
chapter. (2) The provisions of this chapter relating to the liability of the partnership's partners
to third parties apply to limit those partners' liability to a third party who did
business with the partnership within one year before the partnership's election to
be governed by this chapter only if the third party knows or has received a notification
of the partnership's election to be governed by this chapter.
