§ 3941.44.
On or before the effective date of the merger or consolidation, the superintendent
shall file with the secretary of state one of the copies of the agreement on file
with him, with the notice of effective date. Within fifteen days after the effective date of the merger or consolidation, a copy
of the agreement certified by the superintendent shall be filed by the resulting or
surviving company in any public office where the articles of incorporation are required
to be recorded. Copies of the agreement shall also be filed for record in the office of the appropriate
county official in each county where any of the constituent companies owns real property
the title to which will be transferred by the merger or consolidation.
